Overview

We are seeking an attorney with at least 3 years of experience to help us fulfill our mission of helping people achieve education and workplace success. This position allows for a combination of working remote and in the office. The ACT Headquarters office is located in Iowa City, Iowa.

ACT is seeking an attorney to serve as Counsel. The Counsel is a corporate generalist role, providing legal advice to team members at all levels of the organization regarding a wide range of legal matters. A primary responsibility of this position is to advise on laws and manage efficient risk reduction programs ("RRPs") related to insurance, conflicts of interests, truth-in-testing statutes, lobbying, gifts, franchising, political contributions, and marketing, and serve as an additional legal resource on a variety of other legal matters relevant to ACT's business. The Counsel position is a member of the Legal department and reports to the Lead Counsel and Corporate Secretary.

What you will be working on:

  • Advise on laws and manage risk reduction programs ("RRPs") related to insurance, conflicts of interests, truth-in-testing statutes, lobbying, gifts, franchising, political contributions, and marketing
  • Ensure the organization has and maintains effective and right-sized RRPs
  • Provide advice and counsel to ACT and its subsidiary companies on a wide range of corporate and commercial matters
  • Efficiently manage and coordinate with outside counsel as needed
  • Manage ACT's annual employee training program
  • Assist with tracking and interpreting legislation related to ACT's business
  • Conduct research regarding legal issues affecting ACT's business, translating complex laws and regulations into practical advice and solutions
  • Communicate effectively with internal staff, outside counsel and other third parties and their counsel
  • Anticipate legal needs and proactively recommend solutions for meeting these needs
  • Maintain current knowledge of trends and legal issues as they relate to ACT business

  • Highly self-motivated and able to work independently with minimal supervision
  • Strong analytical, drafting, and negotiation skills, as well as excellent oral and written communication skills and judgment
  • Flexible and able to think creatively to find practical solutions to complex issues
  • Organized and detail oriented
  • Demonstrated experience managing multiple matters and projects, meeting deadlines and working effectively individually and as part of a team in a dynamic, fast-paced, challenging environment
  • Sophisticated interpersonal skills, including the ability to develop strong internal relationships, influence others, and work as part of cross-functional teams and in partnership with team members at all levels of the organization
  • Ability to maintain a high level of confidentiality regarding corporate information
  • Ability to travel 15-20 days annually
  • Juris doctor (JD) degree from an ABA accredited law school
  • A current license to practice law in the state of Iowa

  • If not currently licensed in Iowa, able to obtain such license or otherwise be authorized to provide legal services to ACT, Inc. pursuant to Iowa Rule of Professional Conduct 32:5.5(d) within 90 days of your start date
  • Minimum of three years of legal experience in a law firm or corporate legal department
  • Experience in partnering with business clients and cross-functional teams and leading strategic projects and initiatives

It's a plus if you have:
  • Demonstrated competency in managing compliance related initiatives
  • Experience working in a corporate legal department
