Position Summary

ITT Inc. is seeking someone to provide legal counsel and guidance to the officers and employees of all the Industrial Process businesses worldwide on a variety of matters and initiatives that will have a positive impact on the success of the IP Businesses and IP Functions. The ideal candidate will have 10+ years of experience practicing law in a corporate setting and have supply chain experience.This is a hybrid position and candidates can be located in Seneca Falls, NY or Houston, TX.

Essential Responsibilities

COMMERCIAL

  • Prepare, negotiate and revise all equipment and car leases
  • Continue work towards standardizing supply chain terms and conditions, Global Supply Agreements, Vendor contracts and developing training and learning modules for supply team
  • Negotiate freight forwarding, customs brokers, software and master service agreements
  • Negotiate and revise Sales Representative Contracts, Distribution Agreements and third party intermediary agreements; assist with third party due diligence requirements
  • Research local laws and prepare termination or separation notices for all third party agents. Assist with compliance initiatives for all representatives of Industrial Process
  • Coordinate with and advise tax department, FRC and Industrial Process HQ in Seneca Falls regarding corporate documents needed for restructuring or capitalization purposes
  • Review, revise and advise on tax, service, license or other intercompany agreements
REAL ESTATE
  • Draft, review, negotiate and revise all real estate leases, amendments, modifications, "heads of terms", letters of intent, offer letters, missives, agreement of works and guarantees for real estate leases for Industrial Process Value Center's global sites
  • Supervise and consult with outside counsel and external Real Estate Management Company in connection with real estate leases
  • Monitor and respond to real estate critical date reminders; ensure all data bases are updated on monthly basis
  • Interface and advise IP Management and across all functions with updates on real estate transactions
  • Negotiate and draft - access agreements and other real property agreements to support ESH
  • Prepare notices of termination of leases, notices of default and other letters to landlords
  • Support the PAR process from initiation through completion
LITIGATION AND INTELLECTUAL PROPERTY
  • Support and often lead resolution of all forms of disputes through negotiation, arbitration, mediation and/or litigation
  • Assess violations and prepare cease and desist letters to violators of Goulds and ITT trademarks
  • Document review and production in response to third party subpoenas
  • Draft, disseminate and monitor legal holds
  • Oversee the management and tendering of all subrogation cases to former ITT Legal entities including Xylem and Exelis
  • Participate in Product Safety Meetings; assist with resolution of warranty disputes and occasional product escapes and recalls
OTHER/CORPORATE GOVERNANCE
  • Supervise legal intern program
  • Work with ITT HQ paralegal to ensure routine corporate governance documents are drafted, filed and distributed as required.
  • Prepare agreements and documents required for regulatory registrations; respond to customer and supplier request for information and questionnaires
  • Occasionally work with and manage outside counsel in the establishment or dissolution of legal entities (global); occasional work on M&A due diligence and preparation of reports for the same

Position Requirements
  • JD with a minimum of ten years of experience practicing law.
  • Corporate legal experience and some law firm experience required.
  • Supply chain experience is required; Supply chain experience in the oil and gas industry is preferred.
  • Six Sigma certification is helpful.
  • Highly motivated with excellent interpersonal and communications skills.
  • Wide ranging experience negotiating with customers/end-users and EPC contracting is required.
  • Familiarity with commercial and corporate legal issues facing industrial companies is highly beneficial.
  • Maturity and ability to function independently.
  • Excellent professional ethics, integrity and judgment.
  • Member of the bar of at least one US state, preferably the NY Bar.
